Terms of Service
Last updated: [DATE — pending legal review] · Effective: [DATE — pending legal review] · Version: [1.0-DRAFT]
These Terms of Service ("Terms") govern your use of the Conscious Connections platform, applications, and related tools (collectively, the "Service") operated by Agora Network Technologies Inc. ("Agora," "we," "us," or "our"), a corporation incorporated under the laws of British Columbia, Canada.
By creating an account or using the Service in any way, you agree to be bound by these Terms. If you do not agree, do not use the Service.
Who We Are
Agora Network Technologies Inc. is a British Columbia corporation. Its registered office is located at [REGISTERED ADDRESS — confirm with counsel/registry].
The Service operates under the brand name "Conscious Connections" and currently offers a suite of AI-assisted relationship tools including, without limitation: a real-time conflict resolution tool, compatibility assessments, relationship agreement tracking, and intimacy and sexual-health conversation tools.
For all legal, privacy, and data requests, contact us at: [legal@consciousconnections.app — confirm address].
Who Can Use Conscious Connections
The Service is intended for adults only. You must be at least 18 years of age to create an account or use the Service. By using the Service, you represent and warrant that you are at least 18 years of age.
We use an age gate at account creation. If we learn that a user is under 18, we will terminate that account and delete associated data as promptly as practicable.
You must also be legally permitted to enter into these Terms under applicable law. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
What We Are — and Are Not
What Conscious Connections is
The Service provides AI-assisted relationship coaching tools designed to help individuals and couples navigate conflict, improve communication, deepen self-knowledge, and build intentional relationships. Tools include real-time conflict de-escalation coaching, compatibility assessments, relationship agreement tracking, and intimacy and sexual-health conversation guides.
What Conscious Connections is not
- Not a licensed mental-health service. We are not a regulated healthcare provider in any jurisdiction. The Service is not designed to diagnose, treat, cure, or prevent any mental-health condition.
- Not a crisis service. If you or someone you know is in immediate danger, experiencing a mental-health emergency, or at risk of harm to self or others, please contact your local emergency services ([e.g., 911 in Canada/US]), a crisis hotline ([list of relevant hotlines — confirm with counsel for relevant jurisdictions]), or a licensed mental-health professional immediately.
- Not a substitute for professional help. We may surface links to professional resources, but we are not endorsing or referring you to any specific provider.
- Not a monitoring or safety system. We cannot guarantee that the Service will detect every situation of risk, and you should not rely on it for safety monitoring.
AI-Generated Content
Significant portions of the Service — including in-session coaching reflections, conflict summaries, compatibility assessments, and suggested responses — are generated by large language model (LLM) AI systems, including models provided by third parties such as Anthropic, Inc. and [other AI model providers — confirm and update].
By using the Service, you acknowledge and agree that:
- AI-generated content may be inaccurate, incomplete, or inappropriate for your specific situation.
- AI-generated content does not constitute professional, medical, therapeutic, legal, or any other form of licensed advice.
- The AI has no subjective understanding of your relationship, your history, or your emotional state; it responds to the text you provide.
- You are solely responsible for how you interpret and act on AI-generated content.
- We do not guarantee that AI-generated content will be consistent, error-free, or achieve any particular outcome for your relationship.
We work to ground our AI tools in established relationship science (including frameworks from Gottman, Emotionally Focused Therapy, Nonviolent Communication, and attachment theory), but the application of those frameworks by an AI system is not the same as engagement with a licensed clinician who holds those certifications.
Your Account
Creating an account
To use most features of the Service, you must create an account by providing your name and a valid email address or phone number. You represent that all information you provide is accurate and current. You agree to keep your account information up to date.
Account security
You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You agree to notify us immediately at [security@consciousconnections.app] if you suspect unauthorized access to your account.
One account per person
Each account represents a single individual. You may not share your account or create accounts on behalf of other people without their explicit consent.
Account suspension and termination
We may suspend or terminate your account at our discretion if we believe you have violated these Terms, engaged in conduct that harms other users or the Service, or for any other reason with reasonable notice where practicable. You may delete your account at any time — see Section 6 below and our Privacy Policy for what happens to your data.
The Partner Relationship Model
Pairing with a partner
Many features of the Service are designed for use by two people together — a "Couple Account." You can pair with another account holder by sharing and entering a pairing code. Pairing creates a shared relationship record that both of you can access, contribute to, and manage together.
Private versus shared content
The Service maintains a clear distinction between content that is private to you and content that is shared with your partner:
- Private to you: Your individual onboarding answers (before both parties complete them), solo sessions, coach-private drafts, and any content you choose not to share. This content is visible only to you unless you explicitly choose to share it.
- Shared with your partner: Joint sessions, the co-authored Relationship Profile, agreements made together, and any content both parties have reviewed and approved. Both partners have access to shared content.
What happens when you unpair or delete your account
When a Couple Account is dissolved (whether by one or both partners choosing to unpair, or by either party deleting their account):
- Each person retains a read-only copy of the shared content they participated in.
- Your personal self-knowledge profile travels with you — insights you have developed about yourself remain accessible to you.
- Neither party retains the ability to edit the shared record after unpairing.
- If you later pair with a new partner, that new partnership starts fresh — your new partner will not have access to the history, sessions, or shared profile from your prior partnership. (A "seat" is access to the Service; it is not a transfer of shared history.)
- Solo/private sessions remain private to their author regardless of unpairing.
Subscriptions & Billing
Free tier
A free tier of the Service is available that includes account creation, the Relationship Profile, and a limited number of sessions per month (currently [1 complete guided session per month — confirm]). The free tier is designed so that a couple in a genuine conflict situation can always access at least one session per month at no cost.
Paid subscriptions
Additional features — including unlimited sessions, cross-session pattern intelligence, full session history, and [other premium features — confirm current offering] — are available on paid subscription plans. Current plans include:
- Annual Plan: [$99 USD/CAD per Couple Account per year — confirm currency, price, and whether price varies by region], billed annually.
- Monthly Plan: [$14.99 USD/CAD per Couple Account per month — confirm], billed monthly.
- [Additional tiers or bundles — describe when finalized]
One subscription covers a Couple Account — meaning both paired partners access the same subscription. You do not each need to purchase separately.
Billing and payment
Subscriptions are billed through our website via Stripe, our third-party payment processor. By subscribing, you authorize us to charge your payment method on a recurring basis at the interval you select (annual or monthly). Stripe's own terms and privacy policy apply to payment processing; we do not store your full payment card details.
Prices are listed in [USD / CAD — confirm default and display currency]. Taxes may apply depending on your location and will be displayed at checkout.
Auto-renewal
Subscriptions renew automatically. Your annual or monthly subscription will renew at the end of each billing period unless you cancel before the renewal date. We will send a reminder email [at least [X] days] before your annual subscription renews. You can manage or cancel your subscription in your Account Settings.
Price changes
We may change subscription prices at any time. We will notify you of any price change affecting your active subscription with at least [30 days — confirm] advance notice. If you do not cancel before the new price takes effect, you agree to be charged the new price.
Cancellation & Refunds
Cancelling your subscription
You may cancel your subscription at any time by visiting Account Settings on our website or contacting us at [support@consciousconnections.app]. Cancellation stops future billing. You will retain access to paid features until the end of your current billing period.
Refunds
Unless required by applicable law:
- We do not offer prorated refunds for unused portions of a subscription period.
- We offer a [X-day — confirm, e.g., 14-day] satisfaction refund on your first payment if you have not substantially used the Service during that period. Contact us at [support@consciousconnections.app] within that window.
- Annual plan subscribers who cancel within [X days] of their renewal date may be eligible for a prorated refund — contact us.
If you are in the EU or UK, you may have additional statutory cancellation rights under applicable consumer law. Please contact us if you believe those rights apply to your situation.
Acceptable Use
You agree to use the Service only for lawful purposes and in a manner consistent with its intended use as a relationship coaching and communication tool. You agree that you will not:
- Harm or harass others. Use the Service to harass, threaten, stalk, abuse, or intimidate any other person, including a current or former partner.
- Weaponize the platform. Attempt to use the Service's outputs (including AI-generated reflections or session summaries) to coerce, manipulate, gaslight, or psychologically harm another person.
- Impersonate others. Create an account or enter content falsely representing yourself as another person.
- Circumvent safety features. Attempt to disable, bypass, or undermine the safety, crisis-resource, or privacy features of the Service.
- Reverse-engineer or scrape. Attempt to copy, extract, reverse-engineer, or systematically access Service content, AI outputs, or infrastructure beyond your personal use.
- Use commercially without authorization. Resell, license, or commercially exploit the Service or its AI outputs without our written consent.
- Violate law. Use the Service in any way that violates applicable local, national, or international law or regulation.
We reserve the right to remove content and suspend or terminate accounts that violate these standards. We are not obligated to monitor content proactively, but we will act on credible reports of misuse.
Your Content
Ownership
You retain ownership of the text, information, and other content you input into the Service ("User Content"), subject to what you have agreed to share with your partner as described in Section 6.
License to us
By submitting User Content, you grant Agora a limited, non-exclusive, royalty-free license to store, process, display, and transmit your User Content solely as necessary to operate and improve the Service. This license does not extend to selling your content, advertising to you based on your relationship content, or sharing your content with third parties except as described in our Privacy Policy.
AI improvement
[DECISION REQUIRED: Whether and how user content is used to improve or train AI models — this must be fully disclosed. If user content is NOT used for model training (recommended default given sensitivity), state that explicitly. If it IS considered, this requires explicit opt-in consent and detailed disclosure. Counsel must advise on this before launch.]
Accuracy
You are responsible for the accuracy of User Content you submit. The quality and relevance of AI-generated responses depends on the accuracy and completeness of the information you provide.
Safety & Crisis Situations
The Service is designed for use by two or more people engaging in good faith to improve their relationship communication. It is not designed for, and may be harmful in, situations involving:
- Intimate partner violence or abuse
- Coercive control
- Situations where one party fears for their physical safety
- Active mental-health crises, including suicidality
What we do in safety situations
If the Service detects content that suggests risk of harm — to you, to your partner, or to others — it may:
- Pause the coaching flow.
- Surface links to crisis hotlines, domestic violence resources, or emergency services (specific resources are region-dependent).
- Offer a discreet way to exit or disguise the application quickly.
The Service will not attempt to mediate or resolve a situation involving suspected abuse or coercive control — those situations require trained professionals, not an AI coaching tool.
Limits of confidentiality
While we take your privacy seriously (see our Privacy Policy), we cannot guarantee confidentiality in all circumstances. Specifically:
- We may be required to disclose information in response to lawful requests from courts or law enforcement.
- Unlike a licensed therapist, we do not hold privilege over communications made through the Service.
- If you disclose an intent to harm yourself or others, we may take steps permitted or required by law, which could include disclosure to relevant authorities.
Disclaimers & Limitations of Liability
Disclaimer of warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, AGORA DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.
We make no warranties regarding the accuracy, adequacy, or completeness of any AI-generated content, and we do not guarantee that any particular outcome will result from your use of the Service — including, without limitation, any improvement in your relationship.
Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, AGORA AND ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICE, EVEN IF AGORA HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
IN JURISDICTIONS WHERE THE FOREGOING LIMITATION IS NOT PERMITTED, AGORA'S TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING FROM THESE TERMS OR YOUR USE OF THE SERVICE WILL NOT EXCEED THE GREATER OF: (A) THE AMOUNT YOU PAID TO US IN THE [12 MONTHS — confirm] PRECEDING THE CLAIM; OR (B) [$100 CAD — confirm threshold with counsel].
Indemnification
To the fullest extent permitted by applicable law, you agree to defend, indemnify, and hold harmless Agora and its directors, officers, employees, agents, and suppliers from any claims, damages, losses, liabilities, and costs (including reasonable legal fees) arising from:
- Your use of the Service in violation of these Terms;
- Content you submit to or through the Service;
- Your violation of any third party's rights; or
- Your violation of any applicable law.
Governing Law & Disputes
These Terms and any disputes arising from them are governed by the laws of the Province of British Columbia and the federal laws of Canada applicable therein, without regard to conflict-of-law principles.
[DISPUTE RESOLUTION MECHANISM — decide with counsel: mediation, arbitration (BCICAC or other), small claims court carve-out, class action waiver if permissible, or litigation. For EU/UK users, mandatory consumer forum access must be preserved.]
If a dispute arises, we ask that you contact us first at [legal@consciousconnections.app] and give us a reasonable opportunity to resolve it before initiating formal proceedings.
Changes to These Terms
We may modify these Terms at any time. We will provide notice of material changes by:
- Sending an email to the address on your account; and/or
- Displaying a prominent notice within the Service.
We will provide at least [30 days — confirm] notice before material changes take effect. If you continue to use the Service after the effective date of any changes, you accept the updated Terms. If you do not accept the changes, you must stop using the Service and may cancel your account.
We maintain an archive of prior versions of these Terms, available on request.

Open Questions for Counsel
Every item below is a [PLACEHOLDER] or unresolved legal question in this draft. These must be resolved before this document goes into effect.
Corporate & Jurisdictional
- →Confirm BC registered address and correct legal entity name for Agora Network Technologies Inc.
- →Confirm target jurisdiction list: BC/Canada + US (which states?) + EU + UK. Does the platform trigger PIPEDA, BC PIPA, GDPR, UK-GDPR, and CCPA/CPRA simultaneously?
- →Does any additional jurisdiction apply (Australia, others)?
- →Do we need a local representative or data controller in the EU (Art. 27 GDPR) or UK?
Age & Consumer
- →Does the 18+ self-attestation gate satisfy applicable age verification requirements in all target jurisdictions, or is additional technical verification required for a sensitive-content platform?
- →Confirm auto-renewal disclosure and consent requirements per jurisdiction (BC Consumer Protection Act, CA Business & Professions Code §17600+, EU Consumer Rights Directive, UK Consumer Contracts Regulations).
- →Confirm required notice periods for price changes and subscription renewals per jurisdiction.
- →Confirm mandatory cooling-off and refund rights per jurisdiction, especially EU 14-day right of withdrawal for digital services.
Liability & Disclaimers
- →Which warranty exclusions and liability limitations are enforceable vs. void against consumers in BC, US states, EU, and UK? Draft jurisdiction-specific carve-outs as needed.
- →Is the indemnification clause enforceable against consumers in any target jurisdiction?
- →Do we face any heightened duty of care as an AI platform that processes sensitive mental-health-adjacent content? Advise on any applicable standard of care.
Dispute Resolution
- →Decide: mediation, arbitration, or litigation as the primary dispute mechanism. Can we use mandatory arbitration with a class-action waiver in BC? In US states? EU/UK prohibit this for consumer disputes.
- →If arbitration: which body (BCICAC, ICDR, AAA, etc.) and which rules?
- →Small claims court carve-out?
- →EU ODR platform reference required?
AI & Content
- →CRITICAL: Decide and disclose whether user content (session transcripts, relationship profiles) is or may be used to train or fine-tune AI models. If yes, explicit opt-in consent is required. If no, state it explicitly. This is the single most legally and ethically consequential content decision in the product.
- →Review liability exposure for AI-generated content that is inaccurate or harmful. Does any jurisdiction impose specific AI liability standards applicable to coaching / mental-health-adjacent tools?
Safety & Mandatory Reporting
- →Do any mandatory reporting obligations apply to a non-licensed AI platform that receives disclosures of abuse, self-harm intent, or child endangerment in BC, US states, UK, or EU?
- →Does the crisis-resource surfacing feature and "discreet exit" create any product liability or duty-of-care implications?
- →Can we disclaim confidentiality in the way the draft states, or does that create other obligations?
Pricing & Billing Placeholders
- →Confirm final prices, currencies, and display rules for each jurisdiction.
- →Confirm GST/HST (Canada) and VAT (EU/UK) collection and disclosure obligations.
- →Confirm Stripe is compliant with payment regulations in all target jurisdictions.
- →Confirm "non-subscribed partner participation" policy and whether a second seat triggers any additional consent or billing disclosure requirement.
Future / Placeholder Items
- →BIOMETRIC FLAG: If any facial recognition or biometric physical-preference feature is added, immediately flag BIPA (Illinois), Texas Capture or Use of Biometric Identifier Act, Washington My Health My Data Act, and GDPR Article 9 (special category biometric data). Do NOT launch any such feature without dedicated legal review.
- →Clinician / therapist dashboard (future): if licensed practitioners use the platform with clients, confirm whether that triggers any healthcare regulation, HIPAA (US), or regulated-health obligations in any jurisdiction.
- →Affiliate / creator program terms need their own agreement reviewed separately.
